Shoosmiths advises on Anglo - French software acquisition

National law firm Shoosmiths has advised French company, Graitec on its acquisition of a UK software company.

Via UK subsidiary Adris Limited, Graitec - the third largest engineering and construction software provider in Europe acquired the entire share capital of Integer Software Limited.

The Shoosmiths’ team was led by Reading-based corporate partner Dean Drew, supported by corporate associate Adam Hewitson and corporate solicitor Rachel Reeves.

Established in 1983, Integer is an independent software house specialising in software for the construction industry.

Francis Guillemard, Graitec founder and CEO said: “To ensure a smooth transition, ADRIS Ltd and Integer will remain separate entities. This approach will evolve into a tighter partnership over time, with Integer and Adris offering a complete range of software and services to customers of both companies.”

Brian Munton, managing director and founder of Integer, added: “I am very excited by the enormous potential this has opened up for Integer and our clients.  From a technical viewpoint this creates remarkable synergy between two well-placed software offerings.  From a commercial point of view it brings new markets and opportunities.  We are very proud to be part of the Graitec team and to be able to contribute to Graitec’s structural Design Chain concept.”

The Shoosmiths’ team was introduced to the deal by broker, Mr Alexandre Odin of DDA & Company, LLC - a corporate finance boutique with a presence in Continental Europe and the US.
