Our teams are experienced in advising management teams on all forms of buy-outs, whether of private or public companies, and including MBOs, IBOs, MBIs.

Buy-outs are usually supported by either venture capital investment or bank debt finance and our corporate finance/banking lawyers commonly advise banks and other and providers of equity finance on all aspects of banking and finance transactions, including management buy-outs and buy-ins.

We are experienced negotiators of purchase and sale contracts and also experts in legal due diligence. We provide teams of lawyers for major transactions and back up for all transactions from specialists in fields such as property, intellectual property, employment, data regulation and tax. Our experience means that we are pro-active when dealing with issues that need to be resolved and managing the implications of a buy-out, for all sides.

Recent MBO deals include advising LDC on the MBO of BigHand and the Barclays Private Equity-backed MBO of clothing company Scala Collections.
