Board & shareholder disputes
Disputes involving directors and shareholders can arise for a variety of reasons but they are often emotive and highly charged.
Whether there are genuine disagreements over the direction of the business, a breakdown in personal relationships, conflicts of interest or concern over whether the business or its directors are meeting their legal responsibilities, these issues need to be handled delicately and you need your lawyers to be objective, sensitive and able to achieve a quick resolution.
We can advise you:
- In relation to issues surrounding the removal of a director - including any employment law issues which may arise if the director is also an employee, as well as the procedural requirements
- On the appropriate procedures for a transfer and valuation of shares, mindful of the terms of your articles of association or any shareholders agreements
- On safeguarding the business against any third party claims which may result from directors acting in breach of their duties
- On derivative actions and actions for unfairly prejudicial conduct against a minority shareholder
We will work with you to identify and achieve an appropriate solution with the least amount of hassle so that you can get back to business.
