Heather is an Associate in the Technology, Digital and Telecoms (TDT) team specialising in commercial and technology matters. She advises on a wide range of TDT contracts across both B2B and B2C including bespoke collaboration agreements, IT contracts, agency agreements, software licences, introducer agreements, agreements relating to the supply of goods and services and website terms.

Heather also regularly advises companies in relation to energy and infrastructure projects, including solar projects, wind farms and district heating schemes.

Heather is also a specialist in the privacy team and regularly reviews commercial contracts from a data protection perspective and advises on other privacy related matters, including privacy policies, data processing agreements, data sharing agreements, intra-group agreements and mechanisms for international transfers.

Recent experience includes:

  • advising a global business in the construction industry on a full IT outsourcing procurement;
  • advising a leading retailer on a master services agreement for a business critical platform to manager its customer finance offerings;
  • advising an energy service company on long-term concession agreements for the operation and maintenance of energy schemes (including district heat schemes) across several developments;
  • advising an online delivery platform on a range of software contracts and franchise agreements;
  • advising a global car manufacturer on contracts relating to its electric vehicle charger offering;
  • advising a fibre network provider on its suite of template documents;
  • advising an energy developer on solar projects and wind farms;
  • advising a global car manufacturer on a range of IT contracts, including software as a service for its connected cars and software integration;
  • advising a provider of software to the financial sector on an introducer / referral agreement with a major bank;
  • regularly advising a wide range of companies on their terms and conditions, including consumer facing website terms for UK retailers and privacy policies;
  • advising global companies on intra-group agreements, including international data transfer mechanisms;
  • undertaking a global data mapping exercise for a business that operates in over 30 countries;
  • working with the procurement branch of a major global retailer to draft and negotiate their software as service agreement for their critical supply chain management platform; and
  • advising a major investment fund on the structuring and implementation of several asset management agreements and commercial joint ventures.
