Employee incentivisation is key for many of our clients, typically involving complex concepts that straddle multiple disciplines. We have expertise in advising on the tax treatment, corporate governance aspects, regulatory aspects and company and employment law issues that arise in the context of the structuring and implementation of incentive arrangements.
We work closely with our corporate colleagues to advise on the impact on share schemes and the employee tax implications of corporate actions, such as mergers and acquisitions and new investments in our high growth clients. We also work closely with our employment colleagues to advise on the tax consequences of terminations, and to design incentive packages for senior hires.
Our clients demand creative and bespoke incentive arrangements and we deliver this by drawing on our technical strength across a wide range of experts.
Dan Sharman heads up the incentive practice at Shoosmiths and is supported by a number of associates with dedicated incentives knowledge and experience. Dan is a member of the Share Plan Lawyers Group and is also qualified as a Chartered Tax Advisor so is particularly well placed to advise on tax-efficient structuring of incentives arrangements.
Recent experience includes:
- Advising a private equity house on the share schemes aspects of its acquisition of a public company, with a value of £114m;
- Implementing a growth share plan and a share option plan for key employees of a private equity backed company, with the key commercial design involving the structure surviving a takeover;
- Advising an AIM listed company on its remuneration policy, its malus and clawback policy and its share plan arrangements.
