Joint ventures

Businesses, third sector organisations and the public sector are having to consider innovative ways of working together to maximise return on investment, drive efficiencies and service delivery, or unlock the inherent value of assets.

The ideal joint venture or PPP creates value beyond the sum of its parts, helping the parties realise commercial returns or drive change and leave long-term legacies that might be impossible to achieve otherwise.

Shoosmiths' dedicated joint venture structuring team comprises experienced lawyers from a range of disciplines, including corporate, tax, finance, property, state aid and procurement, and commercial.

By listening to you and understanding your objectives, we can help structure the most appropriate venture for you and your joint venture partners, and cut through the complexities.

We know what works in certain situations and what is likely to deliver the maximum benefit. Importantly though, we will not just offer you an 'off the shelf' solution that we have provided for someone else. We recognise that our clients' drivers for each joint venture project are unique, so the solution we deliver must be too.

Our joint venture team is close knit, experienced and intensely commercial. We recognise that structuring your project involves more than just considering the form of vehicle to be used (for example an LLP, limited company or limited partnership).

We are pragmatic and will tell you if we think a more straightforward contract might be more appropriate, or if there is a less complex solution to what you are trying to achieve.

We have advised on joint venture projects involving large scale land regeneration, property development, energy, public and private sector services delivery, facilities management, IT infrastructure solutions, IP exploitation, health, and education. Examples include:

  • PxP West Midlands, a PPP for property investment and regeneration in the West Midlands between the Homes and Communities Agency and Langtree Group Plc;
  • acting for Shepherd Developments in its £300m joint venture with Helios Europe and co-investor SEGRO to develop Doncaster Inland Port, a 5.75 million sq ft rail linked distribution warehousing and intermodal container facility;
  • advising Southampton City Council on its Local Housing Company project;
  • Daresbury Science and Innovation Campus, a PPP between the Homes and Communities Agency, the Science and Technologies Facilities Council, Halton Borough Council and Langtree Group Plc, one of the UK's leading locations for high-tech business and leading edge science, which was awarded Enterprise Zone status and visited by the Rt Hon David Cameron MP, Prime Minister in August 2011.

We provide solutions for both private and public sector clients (we are appointed to numerous national procurement panels and frameworks), and whether you are working with partners in your own sector or another, having sat on both sides of the fence we understand the drivers and arguments your proposed joint venture partner might put forward.
